Old Republic International Corporation, a leading insurance holding company, has announced that its Board of Directors has authorized a $450 million share repurchase program. This program will commence on the date of the announcement and is in addition to the recently completed authorization, which saw the company purchase 19.4 million shares of outstanding common stock.

Method of Purchase

Old Republic may purchase shares through a variety of means, including open market purchases, private negotiated transactions, or other means. The timing and amount of these transactions will be based on Old Republic's discretion, taking into account valuation, market conditions, and other considerations. The company may also repurchase shares pursuant to written, pre-arranged Rule 10b5-1 plans, established and conducted in accordance with applicable regulations.

The share repurchase program is intended to comply with Rule 10b-18 and has no expiration date, does not require the purchase of any minimum number of shares, and may be suspended, modified, or discontinued at any time without prior notice.
