Cosan S.A. (BVMF: CSAN3) disclosed that Director and Chief Executive Officer Marcelo Eduardo Martins purchased approximately $23.8 million worth of company shares, according to a Form 4 filing with the U.S. Securities and Exchange Commission (SEC).

The transactions included 1,599,086 shares purchased on April 10 at $7.05 per share and 2,441,528 shares purchased on May 19 at $5.14 per share. After the latest reported purchase, Martins owned 4,890,286 shares.

Cosan is a Brazilian holding company with businesses across energy, logistics, fuel distribution, natural gas, lubricants, sugar, ethanol, and infrastructure.

CEO Purchase Above Threshold Draws Investor Attention

The purchase is notable because it far exceeds typical insider buying thresholds. CEO purchases above $500,000 to $1 million are often viewed as more meaningful signals of insider confidence.

This filing is stronger than a routine insider buy because the transaction involved the CEO and totaled more than $20 million across two purchase dates.

Context: Buying After Price Decline

The May 19 purchase was made at $5.14 per share, below the April 10 purchase price of $7.05. That shows Martins increased his position after a lower share price, which may attract investor attention from those watching insider confidence signals.

Large insider buying does not guarantee future stock performance, but CEO purchases of this size often become more relevant when they occur after a pullback.
